Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at asjdeveloper.com (the "Site") and any software development, design, consulting, or related services (the "Services") provided by Dév ASJ Dev, inc. ("ASJ Dev", "we", "us", or "our"). By accessing the Site or engaging our Services, you agree to be bound by these Terms.

1. Who we are

Dév ASJ Dev, inc. is a company incorporated under the laws of Canada (Canada Federal Companies), corporation number 17615931, with its registered office at 197 Rue Marcoux, Balmoral, New Brunswick, E8E 1J3, Canada.

2. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, provincial, or local law or regulation;
• Attempt to gain unauthorized access to, interfere with, or disrupt the Site, its servers, or networks;
• Use any automated means to access the Site in a manner that sends more requests than a human could reasonably produce;
• Reproduce, duplicate, copy, sell, or exploit any portion of the Site without our express written permission.

3. Services & engagements

The Site describes the categories of services we offer, including web development, mobile applications, custom software, cloud and DevOps, UI/UX design, integrations, e-commerce, and maintenance. Information on the Site is provided for general informational purposes and does not constitute a binding offer.

The specific scope, deliverables, timelines, fees, and other terms of any engagement will be set out in a separate written agreement, statement of work, or proposal (an "Engagement Agreement") signed by both parties. In the event of a conflict between these Terms and an Engagement Agreement, the Engagement Agreement governs for that engagement.

4. Quotes & payment

Quotes and estimates are valid for the period stated in the relevant proposal and may be revised if the scope changes. Unless otherwise agreed in writing, fees are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes. Payment terms, including any deposits, milestones, or recurring fees, will be specified in the Engagement Agreement.

5. Intellectual property

All content on the Site — including text, graphics, logos, the ASJ Dev mark, and software — is owned by or licensed to ASJ Dev and is protected by applicable intellectual property laws.

Ownership of work product created for a client is addressed in the applicable Engagement Agreement. As a general rule, and subject to full payment and the terms of that agreement, custom deliverables we build for a client are transferred to that client, while pre-existing tools, libraries, and know-how remain ours and are licensed to the client as needed to use the deliverables.

6. Warranties & disclaimers

The Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Warranties relating to the Services, if any, are set out exclusively in the applicable Engagement Agreement.

7. Limitation of liability

To the fullest extent permitted by law, ASJ Dev and its directors, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site. Our total aggregate liability arising from the Site is limited to the amount you have paid us, if any, for accessing the relevant Service. Nothing in these Terms limits liability that cannot be limited under applicable law.

8. Indemnification

You agree to indemnify and hold harmless ASJ Dev from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site.

9. Termination

We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have violated these Terms. Termination of an engagement is governed by the applicable Engagement Agreement.

10. Governing law

These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The courts located in New Brunswick shall have exclusive jurisdiction over any dispute arising out of these Terms, subject to any mandatory consumer-protection rights you may have.

11. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent changes. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
